These Terms govern your purchase and use of OfflineLegal.com — a Windows desktop application that runs a local AI model on your own computer to create, analyse, compare, and chat about legal documents. They cover the website, the installer download, the desktop software, license activation, the local AI model packages, and the document creation, analysis, comparison, and export features. By buying, downloading, activating, or using OfflineLegal.com, you agree to these Terms.

What OfflineLegal.com is — and is not

OfflineLegal.com is offline-first software. Document parsing, OCR, drafting, analysis, comparison, document chat, and the local Gemma AI model all run on your device. Your documents are not uploaded to our servers and are not used to train any AI model. The only data that reaches us is what is needed to take payment and activate your license (see the Privacy Policy).

OfflineLegal.com is a document-productivity tool. It is not a law firm, does not provide legal advice, does not create an attorney-client relationship, and does not replace a qualified lawyer. See the Legal Disclaimer.

Who sells OfflineLegal.com

The seller of record and its registered details are shown at checkout and on your receipt. Card payments are processed by our payment provider (Stripe). Where a separate written order form applies, it controls only where it directly conflicts with these Terms.

Plans and prices

OfflineLegal.com is one installed application. Your monthly subscription unlocks features on a single PC (one purchase = one license = one PC = one checkout email = one activation). All prices are in euros (EUR) and are billed monthly unless checkout states otherwise. Neither plan caps document length or monthly page volume.

The only material difference between Professional and Litigation is Court Audio. Need another computer? Purchase a separate license; licenses are not shared, pooled, or transferable between devices.

License

We grant you a limited, non-exclusive, non-transferable license to install and use OfflineLegal.com on one PC for lawful personal or internal business work, according to the plan you purchased. You may not resell the software, share license credentials across multiple computers, bypass or remove activation and licensing controls, reverse engineer the software except where law allows, or use it to build a competing product.

Activation and devices

Paid features are unlocked by email-based activation tied to the email you used at checkout. Each license registers one PC. We may refuse, revoke, or reset activations where we detect abuse, fraud, chargeback risk, license sharing across devices, or security issues. If you change computers, contact support through the channel shown on your receipt.

Court Audio (Litigation plan only)

Court Audio transcribes audio locally on your device and compares testimony to documents in your case file. It is available only on the Litigation plan. Court Audio output is subject to the same disclaimers as all other AI output: it is not legal advice, may be inaccurate, and must be verified by a qualified professional before use in proceedings.

Subscriptions, renewals, and cancellation

Monthly plans renew automatically each billing period until cancelled. You can cancel at any time through the payment provider or the support channel on your receipt; cancellation stops future renewals and your plan stays active until the end of the paid period. Local processing of documents you already created continues to work, but paid analysis features stop when the subscription lapses.

Payments, taxes, and invoices

Prices are in euros unless checkout states otherwise. Taxes, VAT, payment provider fees, currency conversion costs, and bank charges are not included unless checkout clearly says so. The payment provider or seller of record may calculate and collect taxes at checkout. You are responsible for giving accurate billing details, tax IDs, and exemption certificates where applicable. OfflineLegal.com does not provide tax advice.

Refunds and digital delivery

OfflineLegal.com is digital software delivered immediately. Refunds are handled under the Refund Policy, the checkout terms, and any mandatory consumer rights that apply in your country. Where the law requires consent before immediate digital delivery, checkout collects that consent before download or activation begins.

Your documents, your AI outputs

You keep all rights in the documents you upload, create, or export. Because processing is local, we do not receive, store, or review your documents or AI outputs. You are responsible for ensuring you have the right to process the documents you use and that any output is suitable for your intended purpose.

Local AI outputs are not advice

OfflineLegal.com helps draft, analyse, compare, summarise, and explain documents using a local AI model. It does not provide legal advice, does not create an attorney-client relationship, and does not replace review by a qualified lawyer in the relevant jurisdiction. You must check facts, law, citations, deadlines, commercial terms, and final wording before relying on any output.

You agree not to use OfflineLegal.com to:

Updates and model packages

We may provide software updates, local AI model downloads, legal-pack updates, or compatibility fixes. Availability can depend on your license, operating system, disk space, and hardware. The local Gemma model (~5 GB) downloads on first use and then runs fully offline. We may change, improve, replace, or discontinue features where needed for security, reliability, licensing, legal, or product reasons.

Disclaimers

OfflineLegal.com is provided "as is" and "as available" to the maximum extent permitted by law. We do not promise that outputs will be complete, current, enforceable, error-free, or suitable for a particular legal matter. Laws, court practice, regulatory guidance, and facts change and may require human review.

Limitation of liability

To the maximum extent permitted by law, OfflineLegal.com and its operators are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, legal outcomes, or missed deadlines. Our total liability for any claim is limited to the amount you paid for the subscription period that gave rise to the claim, unless mandatory law requires a higher amount. These limits do not apply to liability that cannot be excluded by law, such as for death or personal injury caused by negligence, or for fraud.

Termination

We may suspend or terminate access if you violate these Terms, fail payment checks, abuse activation, create a security risk, or use OfflineLegal.com unlawfully. Termination does not limit rights or remedies that already accrued.

Governing law

These Terms are governed by the law stated by the seller of record at checkout. If checkout does not state governing law, the law of the seller's registered jurisdiction applies, without regard to conflict-of-law rules. Mandatory consumer protections and non-waivable local rights still apply where required.

Changes

We may update these Terms by posting a new version. Material changes apply prospectively unless law allows otherwise. The "Last updated" date shows the current version.
