They are not legal advice, legal representation, legal opinions, tax advice, financial advice, accounting advice, immigration advice, or other regulated professional advice. They may help you identify questions, risks, missing clauses, drafting issues, or topics for professional review, but they do not replace advice from a qualified professional licensed in the relevant jurisdiction.

No attorney-client relationship

Using OfflineLegal.com, the website, the installer, the local AI engine, documentation, templates, examples, support materials, or generated output does not create an attorney-client, solicitor-client, fiduciary, advisory, agency, or professional-client relationship with OfflineLegal.com, the seller, or their owners, operators, licensors, distributors, or affiliates.

AI output may be wrong

AI systems can produce incomplete, outdated, inaccurate, inconsistent, biased, or fabricated results. They can misunderstand facts, OCR text, handwriting, scans, tables, cross-references, governing-law clauses, legal terminology, local practice, deadlines, court rules, regulatory updates, and commercial context. They can also generate plausible wording that is unenforceable, unsuitable, misleading, or harmful in a particular jurisdiction.

You must verify everything

You are responsible for checking source document text, OCR accuracy, names, parties, dates, numbers, citations, governing law, jurisdiction, deadlines, filing rules, translations, summaries, redlines, suggested wording, risk scores, and exported reports before relying on any output. Where the Software marks content as source-backed, that means only that an installed source pack or authority reference was used. It does not mean the output is legally complete, current, binding, lawyer-approved, or suitable for your matter.

Professional review required

Important matters, court filings, statutory deadlines, regulated notices, employment decisions, consumer notices, immigration matters, tax matters, criminal matters, family-law matters, real-estate transfers, corporate transactions, and high-value or high-risk decisions should be reviewed by a qualified lawyer or other appropriate professional.

Unauthorized practice of law

OfflineLegal.com is designed to assist with document review and drafting workflows, not to practice law or provide regulated professional services. It does not choose a legal strategy for you, represent you, negotiate for you, file documents for you, appear in proceedings, guarantee compliance, or make final legal decisions. Different jurisdictions define the unauthorized practice of law and regulated advice differently. Do not use the Software in a way that would require a license, authorization, court admission, or client engagement that you do not have.

Local processing and privacy

OfflineLegal.com is designed around local processing: document parsing, OCR, analysis, drafting, comparison, chat, exports, and the Gemma AI engine are intended to run on your device when the installed desktop app and local model package are used. Local processing can reduce cloud-transfer risk, but it does not remove all privacy, confidentiality, security, or legal obligations. Activation, licensing, payment, tax, fraud prevention, update, support, and diagnostic flows may still involve online processing as described in the Privacy Policy.

No warranties and limited liability

To the maximum extent permitted by law, OfflineLegal.com is provided "as is" and "as available." OfflineLegal.com does not warrant that outputs will be complete, current, enforceable, error-free, legally valid, accepted by any court or authority, or suitable for a particular legal matter. To the maximum extent permitted by law, OfflineLegal.com and its operators are not liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost data, business interruption, legal outcomes, missed deadlines, rejected filings, penalties, sanctions, or consequences of relying on any output.

Our total aggregate liability for any claim relating to the Software is limited to the amount you paid for the license that gave rise to the claim, unless mandatory law requires a higher amount. These limitations do not apply to liability that cannot be excluded under applicable law, such as liability for death or personal injury caused by negligence, for fraud, or for any other liability that mandatory law does not allow to be excluded.

Indemnification

To the extent permitted by applicable law and subject to mandatory consumer protections, you agree to indemnify and hold harmless OfflineLegal.com, the seller of record, and their owners, operators, licensors, and affiliates from third-party claims, damages, liabilities, costs, and reasonable legal fees arising out of your use of the Software or its output, the documents you upload, generate, distribute, file, or rely on, your breach of this Disclaimer or the Terms, or your infringement of any third party's rights. This does not apply to the extent a claim arises from our own willful misconduct.

Governing law

This Disclaimer is governed by the law stated by the seller of record at checkout, or, if not stated, by the law of the seller of record's registered jurisdiction shown at checkout, without regard to conflict-of-law rules. Mandatory consumer protections and non-waivable rights of your country of residence continue to apply where required.

Consumer rights

Nothing in this Disclaimer, the Terms, or the Refund Policy is intended to exclude mandatory consumer rights that cannot legally be waived. For EU/EEA and UK users, the Privacy Policy describes your GDPR/UK-GDPR data-subject rights (access, rectification, erasure, restriction, portability, objection) and the right to complain to a supervisory authority. For EU consumers and other users with statutory digital-content rights, withdrawal, conformity, repair, replacement, price reduction, refund, and other rights may apply despite general refund or limitation language.
